3. Client Responsibilities

As a client of Starlight Studios, you are responsible for:

1. Providing accurate and complete information necessary for the provision of Services.
2. Adhering to agreed-upon project timelines and deadlines.
3. Reviewing and approving project deliverables in a timely manner.
4. Complying with all applicable laws and regulations.
5. Securing necessary rights and permissions for any third-party materials used in the project, including but not limited to music, images, and footage.

4. Payment Terms

Payment for Services is due as outlined in the project proposal or invoice. We typically require a deposit before commencing work, with the remaining balance due upon project completion. Late payments may be subject to interest charges. Specific payment schedules and methods will be detailed in your individual project agreement.

5. Intellectual Property

Unless otherwise agreed in writing, Starlight Studios retains ownership of all original video footage, graphics, and other creative elements produced during the provision of Services. Upon full payment, the Client will receive a license to use the final video product for agreed-upon purposes. Any use beyond the agreed-upon scope will require additional licensing fees. The Client retains ownership of materials they provide to Starlight Studios.

6. Confidentiality

Starlight Studios agrees to maintain the confidentiality of any sensitive information shared by the Client during the provision of Services. We will not disclose this information to third parties without the Client's express consent, except as required by law. Likewise, the Client agrees to keep confidential any proprietary information of Starlight Studios.

7. Limitation of Liability

Starlight Studios shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of the Site or the Services, even if we have been advised of the possibility of such damages. Our liability shall be limited to the amount paid by you for the specific Services giving rise to the claim.

8. Termination

Either party may terminate a project agreement upon written notice if the other party breaches these Terms. In the event of termination by the Client, the Client shall be responsible for paying for all Services rendered up to the date of termination. Starlight Studios reserves the right to terminate Services if the Client engages in abusive or illegal behavior.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in Los Angeles County, California.

10. Changes to Terms and Conditions

Starlight Studios reserves the right to modify these Terms at any time. We will notify you of any changes by posting the updated Terms on the Site. Your continued use of the Site or Services after the posting of changes constitutes your acceptance of the new Terms. We encourage you to periodically review these Terms.

11. Dispute Resolution

Any dispute arising out of or relating to these Terms shall be resolved through good faith negotiations between the parties. If the parties are unable to resolve the dispute through negotiation, they agree to submit the dispute to binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in Los Angeles County, California. The decision of the arbitrator shall be final and binding on both parties.

12. Force Majeure

Starlight Studios shall not be liable for any failure or delay in performance under these Terms due to causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation facilities, fuel, energy, labor or materials.
